Terms & Conditions
Last updated: July 23, 2026. Please read these Terms & Conditions (“Terms”) carefully before using Chancemarket. Chancemarket is a creator-membership platform: it lets creators offer paid memberships to their audience — exclusive content, a direct community channel, and events — and it lets fans subscribe to support the creators they follow. These Terms are long because a single account can sit inside several relationships at once — a Creator earning from memberships, and a Member paying a recurring subscription for the content, community and events a Creator provides — and we would rather be thorough than leave any of them ambiguous. “Creator” means a user who publishes a page and offers memberships; “Member” (or “fan”) means a user who subscribes to a Creator.
1. Acceptance of These Terms
These Terms constitute a binding legal agreement between you (“you,” “User,” “Member,” or “Buyer”) and Chancemarket Protocol and its operating entity, Twimbox LLC (“Chancemarket,” “we,” “us,” or “our”). By creating an account, accessing the Chancemarket website or mobile experience, subscribing to a Creator, making a one-time purchase, or by checking the acceptance box presented at checkout, you acknowledge that you have read, understood, and agree to be bound by these Terms in full.
If you do not agree to these Terms, you must not access or use Chancemarket, and you must not purchase any membership or subscription. Continued use of the platform after any update to these Terms constitutes acceptance of the revised Terms. If you are using Chancemarket on behalf of an organization, you represent that you have authority to bind that organization, and “you” in these Terms refers to that organization as well as to you individually.
These Terms incorporate by reference our Privacy Policy and any Creator-specific or offering-specific terms displayed on an individual Creator's page before purchase. In the event of a direct conflict between these Terms and an offering-specific term regarding a particular Creator's offering, the offering-specific term controls for that offering only; these Terms control on every other matter, including the membership-access relationship described in Section 4.
2. Eligibility
You must be at least eighteen (18) years old, or the age of legal majority in your jurisdiction of residence, to create an account or purchase a membership through Chancemarket. By accepting these Terms, you represent and warrant that you meet this age requirement and that subscribing to digital memberships is lawful in your jurisdiction.
Chancemarket reserves the right to request proof of age, identity, and residency at any time, and to suspend or restrict access where eligibility cannot be verified or where local law restricts participation. We may also restrict access to some or all Creators' offerings from specific countries, states, or provinces where the membership offering is not permitted to be offered.
We reserve the right to refuse, suspend, or terminate access for any account that does not meet these eligibility requirements, and to require re-verification of age or identity as a condition of continued use of the Services.
3. Definitions
- “Creator” — a user who publishes a page on Chancemarket and offers paid memberships to their audience, including the content, community access, and events made available to their Members.
- “Member” / “Fan” — a user who subscribes to, or makes a purchase to support, a Creator.
- “Membership” / “Subscription” — the recurring paid relationship through which a Member receives ongoing Membership Access to a Creator for the duration of the active subscription.
- “Membership Access” — the benefits a Member receives, described in Section 4: a Creator's members-only content and updates, their community channel and posts, the ability to message the Creator, and access to the events the Creator runs for members.
- “Top-up” — a one-time, non-recurring purchase a Member makes to further support a Creator and to receive the additional benefits offered with that purchase.
- “Event” — a community activity a Creator offers to Members, such as a live stream, a community call, a Q&A, or a members-only gathering, whether online or in person.
- “Site” — the Chancemarket website, any Creator-branded page hosted on Chancemarket infrastructure, and any associated mobile-optimized experience.
- “Fees” — the amount charged to a Member at checkout for a membership or top-up, exclusive of any taxes unless stated otherwise.
- “Services” — collectively, the Chancemarket platform, Membership Access, and the events and community features described in these Terms.
4. Nature of the Service; Membership Access
Chancemarket is a creator-membership platform through which a Member pays a subscription to a Creator in exchange for ongoing membership access to that Creator's work and community. The paid product is the membership itself — the content, the community, and the events a Creator provides to their Members.
By subscribing to a Creator on Chancemarket, you are purchasing a membership that gives you access, for the duration of your active subscription, to a direct connection with that Creator — including their members-only content and updates, their community channel and posts, the events they host for members, and the ability to message the Creator directly.
The membership access described in this Section is what every Member receives for their subscription. The specific benefits included in a membership — the content published, the community access, the events offered, and response times to direct messages — are set by each Creator and may vary between Creators and over time. A Member's decision not to consume a particular benefit (for example, not reading a post, not attending an event, or not messaging the Creator) does not entitle the Member to a refund, since the access is made available for the Member to use whether or not they choose to.
Because each subscription is a membership-access product, transactions on Chancemarket are processed, accounted for, and should be understood as membership and subscription commerce. This same description of what the membership provides is presented to you at the point of sale, in the acceptance you confirm before payment is enabled, so that the nature of the purchase is clear before — not only after — you pay.
In addition to recurring memberships, a Creator may offer a top-up: a one-time, non-recurring purchase through which a Member provides additional support and receives the benefits offered with that purchase, which may include additional content or event access. A top-up is a single purchase and does not renew automatically.
Nothing in this Section obligates any specific Creator, membership tier, event, or benefit to remain available indefinitely. If a Creator changes their tiers or leaves the platform, or if Chancemarket changes the features available to memberships, we will apply the cancellation and pro-ration rules described in these Terms and update this Section accordingly.
5. Account Registration
To subscribe to a Creator or manage a Creator page, you may be required to register an account using an email address, a supported wallet, or a third-party authentication provider. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use of your account.
You agree to provide accurate, current, and complete information when registering an account or managing a membership, and to keep that information up to date. We may rely on the information you provide, including your email address, to deliver membership access, event and content notifications, and other communications required under these Terms.
We reserve the right to suspend or terminate any account that provides false information, violates these Terms, or is used for fraudulent, abusive, or unlawful activity. Each natural person or organization may maintain only one active Member account unless we expressly authorize otherwise.
6. Subscriptions, Payments & Pricing
Memberships and top-ups may be purchased using the payment methods presented at checkout, which may include credit or debit card processing (via Stripe), MercadoPago, or supported cryptocurrency wallets. All prices are displayed in the currency shown at checkout and are for the membership or top-up described in Section 4.
You are responsible for any taxes, duties, or similar governmental assessments associated with your purchase, except for taxes based on Chancemarket's net income, unless we are required by law to collect such taxes directly, in which case they will be itemized at checkout. Where a purchase is made in a cryptocurrency, the fiat-equivalent price is fixed at the time of checkout and the applicable conversion rate is disclosed before you confirm payment; Chancemarket is not responsible for exchange-rate movements between the time you view a price and the time your transaction is confirmed on-chain.
Except as required by applicable law or as expressly stated in Section 8 of these Terms, subscription Fees already charged and top-up purchases already completed are non-refundable. Chargebacks or payment disputes initiated without first contacting Chancemarket support may result in suspension of your account, without limiting our other rights or remedies. If a payment fails, is reversed, or is otherwise not honored by your payment provider after a membership or top-up has been issued, we may suspend the associated Membership Access.
A membership is billed on a recurring basis: you authorize Chancemarket to charge your selected payment method on each renewal date until you cancel. You may cancel a recurring membership at any time prior to the next billing date through your account settings; cancellation takes effect at the end of the then-current billing period and does not entitle you to a pro-rated refund. A top-up is a one-time charge and does not renew.
7. Cryptocurrency & Blockchain Risk Disclosure
Where a purchase is made using a supported cryptocurrency wallet, you acknowledge that cryptocurrency transactions are irreversible once confirmed on the applicable blockchain network, that network congestion or gas-fee volatility may delay or increase the cost of a transaction, and that Chancemarket does not control, and is not responsible for, the underlying blockchain network, wallet software, or smart contracts used to record a purchase.
You are solely responsible for the security of your wallet, private keys, and seed phrases. Chancemarket will never ask you for your private keys or seed phrase, and will not be liable for any loss resulting from a compromised wallet, a mistyped address, or a transaction sent to the wrong network. If you connect a wallet to make a purchase, you represent that you are the lawful owner or authorized user of that wallet and the funds it contains.
8. Refunds & Cancellations
Because a purchase gives you Membership Access — content, community, and events — that is made available to you immediately, we generally do not offer refunds once a purchase is complete, except where required by applicable consumer-protection law or where Chancemarket determines, in its sole discretion, that a technical error prevented the membership or top-up from being validly issued or prevented the associated Membership Access from being delivered.
If a Creator's offering is cancelled or discontinued before the benefit you paid for is delivered — for example, due to a legal or compliance issue, or an error in how the offering was configured — affected Members will be offered, at Chancemarket's discretion, either a refund of the Fees paid or credit toward a future purchase.
Cancelling a recurring membership under Section 6 stops future charges but does not retroactively refund amounts already charged, and does not automatically deactivate Membership Access already granted for a billing period that has already started; that access remains available through the end of the paid period.
9. Creator & Partner Program
Creators and partners who publish and promote a membership through their own Chancemarket page do so under a separate arrangement with Chancemarket governing commissions, payout timing, and permitted marketing practices. Nothing in a Creator's or partner's promotional materials modifies these Terms as they apply to Members; in the event of any conflict, these Terms control.
Creators and partners are independent parties and are not employees or agents of Chancemarket. Chancemarket is not responsible for representations made by a Creator or partner that are inconsistent with these Terms or with the official description of a membership, including any representation that inaccurately describes the content, community, or events included with a purchase.
Creators and partners are responsible for ensuring that their own marketing complies with applicable advertising and consumer-protection laws in the jurisdictions where they promote it, including any disclosure obligations relating to the commercial relationship between the Creator or partner and Chancemarket.
10. Intellectual Property & Creator Content
The Chancemarket name, logo, platform design, and underlying software are the property of Twimbox LLC and its licensors and are protected by applicable intellectual property laws. Content published by a Creator remains the property of that Creator or their licensors; your membership grants you a limited, non-exclusive, non-transferable, personal license to access and view that content for the duration of your active membership, and does not transfer any ownership interest or any right to redistribute it.
You may not copy, modify, reverse-engineer, resell, sublicense, publicly redistribute, or create derivative works from Chancemarket software or from a Creator's members-only content except as expressly permitted in writing. If you submit feedback, suggestions, or ideas about Chancemarket, you grant us a perpetual, royalty-free license to use that feedback without restriction or compensation.
11. Events, Community & Additional Member Benefits
Beyond content, a Creator may include community access and events as part of a membership — for example a members-only community channel, live streams, community calls, Q&A sessions, or online or in-person gatherings. The specific events offered, their schedule, and any capacity limits are set by the Creator and may change over time; an event that is rescheduled, changed in format, or cancelled does not, by itself, entitle a Member to a refund, though we will apply Section 8 where a whole offering is cancelled.
A Creator may also make additional benefits available to Members from time to time — such as community products, early or discounted access to a Creator's own offerings, or participation in a crowdfunding or community campaign. These additional benefits are provided as part of, and at no separate charge beyond, the membership or top-up already purchased, and they may vary from month to month and between Creators. Where an additional benefit is provided or operated by a third party, that third party's own terms may also apply to your use of it; these Terms continue to govern your relationship with Chancemarket and your membership.
Attendance at, or use of, any event or additional benefit is subject to any reasonable conduct rules the Creator or Chancemarket communicates, and we may remove a Member from an event or community space, without a refund, for conduct that violates Section 14 or those rules.
12. Data Protection & Privacy
Our collection, use, and disclosure of personal information in connection with the Services, including information collected to verify eligibility and deliver memberships and events, is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described there.
Where delivering a membership benefit requires us to share your name, email address, or account identifier with a Creator or with a third party operating an event or additional benefit on the Creator's behalf, so that your access can be provisioned, you consent to that limited sharing as necessary to fulfill the membership benefits described in Section 4 and Section 11.
13. Communications; Electronic Consent
By creating an account or completing a purchase, you consent to receive communications from Chancemarket electronically, including order confirmations, membership and event notifications, and legally required disclosures, at the email address or phone number you provide. You agree that these electronic communications satisfy any legal requirement that such communications be in writing.
You may opt out of non-essential marketing communications at any time; you may not opt out of transactional communications, such as purchase confirmations and membership and event access instructions, that are necessary to fulfill your purchase.
14. Prohibited Conduct
- Creating multiple accounts to circumvent per-account limits or promotional restrictions.
- Using bots, scripts, or automated means to purchase memberships or interact with the platform.
- Using Chancemarket for unlawful, fraudulent, or infringing purposes.
- Copying, recording, or redistributing a Creator's members-only content, events, or community posts without authorization.
- Circumventing, disabling, or otherwise interfering with security-related features of the Services.
- Misrepresenting your identity, age, or eligibility in order to purchase a membership.
- Reselling, sublicensing, or transferring a membership or its benefits to a third party.
Violation of this Section may result in immediate suspension of your account, deactivation of Membership Access obtained through the violating conduct, and, where applicable, referral to law enforcement.
15. Disclaimers; Limitation of Liability
The Services, including all content, community access, and events made available through a membership, are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Chancemarket does not warrant that the Services will be uninterrupted, error-free, or secure, and does not warrant the accuracy, reliability, or availability of any individual Creator's content, events, or offering.
To the maximum extent permitted by applicable law, Chancemarket, Twimbox LLC, and their officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services, even if advised of the possibility of such damages. In no event shall our aggregate liability to you exceed the total amount you paid to Chancemarket in the twelve (12) months preceding the claim.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above limitations may not apply to you; in that case, our liability will be limited to the maximum extent permitted by applicable law.
16. Indemnification
You agree to indemnify, defend, and hold harmless Chancemarket and Twimbox LLC, together with their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of a third party.
17. Termination
We may suspend or terminate your account and access to the Services, including any active membership, at any time for violation of these Terms, for suspected fraud, or as required by law. You may close your account at any time by contacting support; closing your account does not entitle you to a refund for memberships already purchased or subscription periods already begun.
Sections of these Terms that by their nature should survive termination — including Sections 10, 15, 16, 20, and 21 — will survive any termination or expiration of your account or these Terms.
18. Export Control; Sanctions; International Use
The Services may be subject to export control and economic sanctions laws. You represent that you are not located in, or a resident of, a country or region subject to comprehensive sanctions, and that you are not on any restricted-party list maintained by the government of the United States or another applicable jurisdiction. We may deny or revoke access to the Services where required to comply with such laws.
Chancemarket makes no representation that the Services are appropriate or available for use in every location. If you access the Services from outside the country in which Chancemarket primarily operates, you do so on your own initiative and are responsible for compliance with local law.
19. Force Majeure
Chancemarket will not be liable for any failure or delay in performance, including delays in delivering membership content or hosting an event, resulting from causes beyond our reasonable control, including acts of God, natural disaster, war, terrorism, labor disputes, internet or utility failures, or actions of a third-party payment processor or blockchain network.
20. Governing Law; Dispute Resolution
These Terms are governed by the laws of the jurisdiction in which Twimbox LLC is organized, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved informally within thirty (30) days, either party may pursue any remedy available at law or in equity, subject to any binding arbitration or venue provisions separately agreed to at account creation.
To the extent permitted by applicable law, disputes will be resolved on an individual basis, and you agree not to bring a claim as a plaintiff or class member in any purported class, consolidated, or representative proceeding, unless we agree otherwise in writing.
21. Miscellaneous: Assignment; Severability; No Waiver; Entire Agreement
You may not assign or transfer these Terms, or any membership or benefit arising from them, without our prior written consent. We may assign these Terms, in whole or in part, including in connection with a merger, acquisition, or sale of assets involving Chancemarket or Twimbox LLC.
If any provision of these Terms is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
These Terms, together with the Privacy Policy and any Creator-specific or offering-specific terms displayed before purchase, constitute the entire agreement between you and Chancemarket regarding the Services and supersede any prior agreements on the same subject.
22. Changes to These Terms
We may update these Terms from time to time to reflect changes in our practices, the Services, or applicable law. Material changes will be communicated by posting the updated Terms on this page with a revised “Last updated” date, and, where appropriate, by additional notice within the platform or by email. Your continued use of the Services after such changes take effect constitutes acceptance of the updated Terms.
23. Contact
If you have questions about these Terms or your membership, please contact us through the support channel listed in your Chancemarket account or via the contact information published on the Chancemarket website. We aim to respond within a reasonable time.
